Foxy Studio is operated by Barbara Mileo, sole trader (entreprise individuelle) registered in France. By creating an account or using Foxy Studio, available at dashboard.foxystudio.app and through the Foxy Studio app for Shopify, you agree to these terms. If you do not agree, please do not use the service.
Foxy Studio is a workbench for sellers of one-of-a-kind fashion items: it organizes your inventory and photo albums, enhances your product images (including with AI), helps you prepare listing content, and sends your items to the sales channels you connect. Products sent to a connected Shopify store are always created as drafts: you review and publish them yourself in Shopify, which remains the source of truth for your store.
You need an account to use the service. You agree to provide accurate information, to keep your credentials confidential, and to notify us of any unauthorized use of your account. The service is reserved for professional sellers acting in the course of their business; by creating an account you confirm that you use Foxy Studio in a professional capacity, and you must be at least 18 years old. You are responsible for the activity that happens under your account.
You keep full ownership of the photos, product information and other content you upload. You grant us the limited license needed to operate the service: storing your content, processing it to provide the features you request (such as image enhancement), and transmitting it to the sales channels and service providers involved in those features. You are responsible for your content: you confirm that you have the right to upload it and to sell the items you list.
The Foxy Studio platform (the software, design, features and the Foxy Studio name and logo) belongs to us. These terms give you a limited, non-exclusive right to use the service for your business while your account is active; they transfer no other right. You agree not to copy, resell or reverse engineer the service, except where the law expressly permits it.
Some features use AI to edit or generate images and text from your inputs (for example clean backgrounds or on-model photos). AI results can be imperfect: you are responsible for reviewing generated content before you use or publish it, and for complying with any disclosure rules that apply on the channels where you sell. Our AI providers are listed in the Privacy Policy.
When you connect a sales channel such as Shopify, you authorize Foxy Studio to act on your behalf within the permissions you grant (for Shopify: products and locations). Your use of each channel remains governed by that channel's own terms. We never publish products live on your behalf; items always arrive as drafts for you to approve. Disconnecting a channel, or uninstalling the Shopify app, stops this access.
Foxy Studio is currently offered free of charge. If we introduce paid plans, we will communicate pricing clearly before you are ever charged, and continued use of paid features will require your explicit agreement.
How we collect and process personal data in connection with the service is described in the Privacy Policy, which forms part of your agreement with us.
You agree not to use the service for unlawful purposes, to list items you do not have the right to sell (including counterfeit goods), to upload content that infringes the rights of others, to attempt to disrupt or overload the service, or to access it by any means other than the interfaces we provide.
If you believe content available through the service is unlawful or infringes your rights, report it to barbara@foxystudio.app with enough detail for us to identify it. We review reports promptly and remove content when the law requires it.
We work to keep Foxy Studio reliable, but the service is provided "as is" and we cannot guarantee uninterrupted availability. We may add, change or remove features as the product evolves; if a change materially reduces the service, we will give you reasonable notice where possible.
To the extent permitted by law, our liability for any claim arising from the service is limited to direct damages and will not exceed the amount you paid us in the 12 months preceding the claim (or 100 euros if you paid nothing). We are not liable for indirect damages such as lost profits or lost data caused by events outside our reasonable control. Nothing in these terms excludes liability that cannot be excluded under applicable law.
If a third party brings a claim against us because of the content you uploaded or because you breached these terms (for example, listing items you had no right to sell), you agree to compensate us for the damages and reasonable costs that result from that claim.
Neither of us is liable for a failure or delay caused by events outside reasonable control, such as outages of hosting or AI providers, network failures or acts of public authorities, provided the affected party resumes performance as soon as reasonably possible.
You can stop using the service and delete your account at any time. We may suspend or terminate an account that breaches these terms, with prior notice where reasonably possible; in case of serious abuse or a security risk, suspension can be immediate. After termination, your data is deleted as described in the Privacy Policy.
These terms are governed by French law. Any dispute that cannot be resolved amicably will be submitted to the competent French courts, without prejudice to any mandatory consumer protections that may apply to you.
These terms, together with the Privacy Policy, are the entire agreement between you and us about the service. If a clause is found unenforceable, the rest of the terms remain in force. Not enforcing a clause at some point does not waive it. You may not transfer your account or this agreement without our consent; we may transfer this agreement as part of a sale or reorganization of the business, and will notify you if that happens.
